Terms of Service

1. Scope & Acceptance

These Terms of Service ("Terms") govern access to and use of the Stable Chain service ("Service") operated by One Prime Limited ("we", "us"). By registering for, accessing, or using the Service, you agree to these Terms. "User" includes both merchants that integrate the Service ("Merchant") and end users that make deposits through it ("End User").

2. The Service

The Service receives deposits via licensed collection partners in Japan, deducts applicable fees, and delivers the corresponding value to the Merchant by stablecoin transfer through a third-party custodian. We are not a bank, exchange, or investment service.

3. Identity Verification (KYC/AML)

We may require information and documents for identity verification and transaction screening under applicable anti-money-laundering, counter-terrorist-financing, and sanctions laws. We may refuse, delay, suspend, freeze, or unwind any transaction or account that we cannot verify or that we reasonably believe presents legal or compliance risk.

4. Deposits, Matching & Transfers

A deposit is reflected once we have reconciled and confirmed it. Where a deposit cannot be matched (for example, the remitter name does not correspond to the expected information), reflection and the related transfer may be withheld pending review.

Blockchain transfers are irreversible once broadcast. You are responsible for the accuracy of destination wallet addresses and networks; we are not liable for losses resulting from incorrect addresses, networks, or network conditions.

5. Returns & Reversals

We may return all or part of a deposit to its source (including by bank reversal) where the intended Merchant cannot be identified, a transfer does not complete, or a return is necessary for legal or compliance reasons. Fees and out-of-pocket costs of a return may be borne by the User.

6. Fees

Fees are set by us and shown in the Service or in the applicable agreement, and may be deducted from amounts processed.

7. Prohibited Conduct

You must not use the Service for any unlawful purpose, for money laundering, sanctions evasion, terrorist financing, or fraud; provide false information; attempt unauthorized access to or interference with the Service; or act for a sanctioned or prohibited party.

8. Disclaimers & Limitation of Liability

The Service is provided "as is". We are not liable for delays or failures caused by third-party systems (including blockchains, financial institutions, collection partners, and custodians) except to the extent caused by our fault, and to the maximum extent permitted by law our liability is limited as set out in the applicable agreement.

9. Changes & Governing Law

We may amend these Terms from time to time; amended Terms take effect when posted. Governing law and venue are as set out in the applicable agreement (to be confirmed).
